Biography

Gabriel Thivierge practises in our business law group, with a focus on commercial, corporate and securities law. 

Gabriel assists private and public companies in a wide range of transactions such as mergers and acquisitions, private placements, project financings and corporate reorganizations. He also advises Canadian public companies in the mining sector on continuous disclosure obligations and other corporate matters.

He has developed particular experience in the financial and natural resources sectors.

  • Synex Business Performance, one of Canada's largest insurance brokerage groups - minority investments by Caisse de dépôt et placement du Québec and Ares Management Credit Funds
  • Beneva, Canada's largest mutual insurer - announced merger with Gore Mutual, one of the oldest property and casualty mutual insurers in Canada
  • El Espino, Coquimbo Region of Chile (legal advisor to the lenders) - US$375 million senior credit facility and US$140 million cost overrun facility for the development of the El Espino open pit copper mine project in Chile
  • Boulangerie St-Méthode Inc. - sale of a majority interest to CDPQ, Roynat Equity Partners and Swander Pace Capital, a U.S. equity fund
  • Robex Resources Inc. - US$130 million senior secured syndicated facility for the construction of the Kiniero Gold Project in Guinea
  • Robex Resources Inc. - acquisition of Sycamore Mining Ltd, a private Cyprus company, through an all-share transaction to develop the Kiniero Gold Project in Guinea
  • Nouveau Monde Graphite Inc. - acquisition of the Lac Guéret Uatnan mining project from Mason Resources Inc.
  • Investissement Québec - acquisition of a minority interest in TUGLIQ Energy Corp., a private Quebec company in the renewable energy sector
  • Synex Performances d'Affaires Inc. - substantial minority equity investment by BBH Capital Partners, a U.S. private equity fund, and other related transactions
  • Mr. Germain Lamonde - subordinated financing of his going-private acquisition of EXFO Inc. by way of a plan of arrangement
