Norton Rose Fulbright advises Work System Integrator and SAET for the construction of two PV plants in the Balearic Islands

Italy Press release - Business June 2020

Global law firm Norton Rose Fulbright has advised Work System Integrator S.r.l., its subsidiary Work System Integrator Spain S.L.U. (WSI), as majority member and principal, and SAET S.p.A. (SAET), as agent, in the incorporation of a temporary companies association with legal capacity under Spanish law named “Work System Integrator Spain S.L.U. Y Saet S.p.A. Union Temporal De Empresas Ley 18/1982” (UTE PV4BALEARI).

UTE PV4BALEARI was awarded, as EPC contractor, for the construction and connection to the grid in the Balearic Islands of two photovoltaic plants named “Sa Caseta” and “Binatria” with an aggregate capacity of approximately 37 MWp to be built for the benefit of two special purpose vehicles acting as employers and controlled by one of the largest European utilities. For the construction of these photovoltaic plants, sustainable engineering criteria will be followed and the employers’ "Sustainable Construction Site" model will be applied.

Within the same context, Norton Rose Fulbright has also advised UTE PV4BALEARI and its members in the negotiation and drafting of subcontracts among UTE PV4BALEARI and WSI with regard to engineering, procurement activities and all civil works and plants construction activities, SAET with regard to electrical works and plants’ substations, Esasolar Energy System with regard to supply of the structures, and in the assessment and management of all the implications arising from the COVID-19 emergency in order to limit the consequences of such emergency and ensure site supplies and the proper execution of the works with due safety.

Luigi Costa, partner in the Milan office of Norton Rose Fulbright, commented:

“This transaction is a confirmation of our worldwide capability in the energy and infrastructures sector and of the ability of our Milan team to provide a comprehensive legal service spanning from corporate to construction and financing in the energy field to Italy-based multinational companies: something that helps them reach objectives around the world. This time it was even tougher due to the COVID-19 emergency and restrictions which have put at risk the construction activities.”

The Norton Rose Fulbright team was led by Luigi Costa and included counsel Ginevra Biadico.
