Norton Rose Fulbright advises Integra on the sale of minority stake in ESI S.p.A.

Global law firm Norton Rose Fulbright has advised majority shareholder Integra S.r.l. on the sale, through an off-market block operation, of 666,667 ordinary shares of ESI S.p.A. (ESI), representing 10.68% of the ESI corporate capital, to Exacto S.p.A., a holding company active in the management consultancy sector.

ESI is an Italian company listed on AIM Italia, the market dedicated to dynamic and competitive small and medium enterprises. It acts as an EPC contractor and system integrator in the renewable energy and energy efficiency sectors in Italy and internationally.

Milan partner Luigi Costa, who led the Norton Rose Fulbright team, commented: “This transaction will strengthen the company’s capital structure and it still confirms, six months after the company listing, the great interest for the business carried out by ESI, its performance and long term vision and high technical skills of all its management. We expect to see more corporate activity in the renewables space as the energy transition gathers pace.”
