Biography

Vicky Lam is a corporate finance lawyer based in Hong Kong.

Vicky has over 15 years of experience in advising different types of corporate finance transactions, including IPOs, public takeovers, M&A, pre-IPO investments, joint ventures and providing advice on the Hong Kong Listing Rules and the Takeovers Code.  Prior to joining the legal field, Vicky was a trader and a corporate banker of leading international banks.

IPO

  • CMON Limited (1792.HK): transfer of listing to Main Board from GEM Board. Represented China Galaxy and Lego Corporate Finance.
  • Edvantage Group (0382.HK): Main Board IPO and HK$629.3m global offering. Represented BNP Paribas.
  • CNQC International (1240.HK): HK$2.6bn acquisition of CNQC (South Pacific). Listing by way of reverse takeover. Represented the Company.
  • China Modern Dairy (1117.HK): Main Board IPO and HK$3.47bn global offering. Represented the Company. Also advised on its US$140m pre-IPO investment.
  • Sunac China (1918.HK): Main Board IPO and HK$2.61bn global offering. Represented the Company.

 

M&A

  • Gaw Capital Partners (a leading real estate private equity firm in Asia Pacific):
    • advised on a series of investments, including series A round financing for Blackpanda Group, investment in Maoneng's Australian battery energy storage system platform and Series C round financing for 99 Group;
    • advised various funds in their investments in fintech or other technology start up companies.
  • Transcend Capital Partners: investment into a fintech company that offers a range of Over-The-Counter products linked to cryptocurrencies.
  • Primary Group Limited: Series B Fundraise of Roojai, a digital motor insurance InsurTech start up in Thailand and Indonesia.
  • Kerry Logistics Network (0636.HK): acquisition of 39% interest in K-Apex Logistics (HK) for a total consideration of up to HK$5.9 billion.
  • Shun Tak Holdings (0242.HK):
    • formation of joint venture for a cross boundary transportation platform in the Greater Bay Area with China Travel International Investment Hong Kong Limited (0308.HK);
    • S$350 million acquisition of 70% equity interest in 111 Somerset, a 17-storey commercial landmark development in Singapore from a group of sellers (including Perennial Real Estate Holdings Limited (40S.SGX)).
  • Qingda Developments: approx. HK$789 million acquisition of approximately 60.82% of the issued share capital of Midas International Holdings Limited (1172.HK, now known as Magnus Concordia Group), and the subsequent mandatory general offer for acquiring all outstanding shares not already owned by itself and its concert parties.
  • Dalian Wanda Commercial Properties (delisted, 3699.HK prior to delisting): proposed US$140 million participation in the privatisation of all H Shares and the proposed withdrawal of listing of all H Shares from the Hong Kong Stock Exchange. Represented ICBC International.
