Biography
Joeri Noteborn, attorney at law (advocaat) is part of the corporate/M&A practice in Amsterdam.
Joeri is experienced in cross-border and domestic M&A transactions, joint ventures and restructurings (including distressed M&A and M&A following a bankruptcy). He has extensive experience advising major corporates as well financial investors that are internationally active in this space. Joeri also has extensive experience advising on W&I insurance and has been seconded to a market leader in respect of W&I insurance in the Netherlands.

- Advised Energizer Holdings, Inc. (NYSE: ENR) on a divestiture of a battery unit, which entailed a multi-jurisdictional sale within EMEA.
- Advised Energizer Holdings, Inc. (NYSE: ENR) on the USD 1.5bn multi-jurisdictional purchase of Spectrum Brand’s autocare business.
- Advised Energizer Holdings, Inc. (NYSE: ENR) on the USD 2bn multi-jurisdictional purchase of Spectrum Brand’s global battery and portable lighting business.
- Advised PIB Group (backed by world-leading private equity firms, Apax Funds and Carlyle), a leading specialist insurance intermediary, on its strategic acquisition of commercial lines insurance broker and MGA platform Thoma.
- Advised PIB Group on its strategic acquisitions of Light B.V. and RISQqise B.V. and entry into the Dutch market for insurance broking.
- Advised Graco Inc. (NYSE: GGG) on the EUR 230m (ex. additional contingent consideration) acquisition of a Corob S.p.A., a European manufacturer of paint dispensers and related equipment.
- Advised a consortium of lenders and security agent on the sale, out of bankruptcy, of the Hartel Tank Terminal located in the Port of Rotterdam. Advised Allianz on its investment in Windpark Hollandse Kust Zuid, an offshore wind farm with a total capacity of 1529 MW in the Dutch part of the North sea.
- Advised a consortium of lenders of lenders on the debt-for-equity swap in relation to Vroon, an international shipping company.
- Advised FTI Consulting on its acquisition of BOLD and entry into the Dutch market.
- Advised Participatiemaatschappij Vlaanderen NV on its investment in KevlinX, a data center located in Brussels.
- Advised Warner Media, LLC and Turner Broadcasting System Europe Limited on the acquisition of The Widget Company B.V. a developer of over-the-top (OTT) and other streaming applications located in the Netherlands and Hungary.
- Advised Vodacom Group Limited on a joint venture with IoT.nxt, consisting of a JV-company incorporated and based in South Africa and a JV-company incorporated and based in the Netherlands.
- Advised Alcami Wisconsin Corporation, a leading provider that offers fully-integrated custom end-to-end solutions to the pharmaceutical and biotechnology industries, on the divestment of their operations in the Netherlands.
- Advised Selecta (a KKR portfolio company), a European market leader in convenience-self service solutions (snacks and beverages vending machines) on the acquisition of a vending machines and coffee machines business in the Netherlands.
- Advised McLarens, a leading global independent insurance services provider on the strategic acquisition of VanDerWal & Joosten B.V., a leading construction and engineering, environmental, liability and agricultural loss adjusting and technical claims investigation firm in the Netherlands.
- Advised SoftwareONE Holding AG, a leading global provider of end-to-end software and cloud technology solutions, on the acquisition of B-lay, a leading provider of Software Asset Management (SAM) advisory and managed services for SAP and Oracle solutions.
- Advised Westermeerwind B.V. that has realised a wind farm project in the Noordoostpolder, the Netherlands on the fund structure and participation by citizens in the area (through a securities issuance).
- Advised InnoGenerics B.V. on the acquisition of a manufacturing plant of generic medicines from Apotex Nederland B.V. and Aurobindo (a pharmaceutical company based in India).
- Advised AEB Holding N.V. on the acquisition of a project company that developed a biomass plant in the Amsterdam harbour.
- Advised the management board of a large Dutch fashion chain in relation to the bankruptcy and restructuring of the business.
- Advised Total on the divestment of its global functional additives business located in Belgium, France, China and USA.
