Biography

Philippe Carignan is an associate in our business law group whose practice encompasses all aspects of corporate and securities law.  He has a particular focus on public and private mergers and acquisitions and capital markets transactions, including public offerings, private placements and other financings.

He also advises clients on corporate governance and securities regulatory matters, including public issuers’ continuous disclosure obligations.

Philippe has recently acted for the following clients:

  • Issuers and syndicates of underwriters and agents in various public and private offerings of debt and equity, including offerings by Aya Gold & Silver Inc., Fiera Capital Corporation, Robex Resources Inc. and Dollarama Inc.
  • Various corporations, including Lithium Argentina AG and Falcon Energy Materials plc, in their redomiciliation from Canada to international jurisdictions, including the Abu Dhabi Global Market in the United Arab Emirates and Switzerland
  • H2O Innovation Inc. in its C$395 million going-private transaction with Ember SPV I Purchaser Inc., an entity controlled by funds managed by New York-based private equity firm Ember Infrastructure Management, LP, which was effected by way of a statutory plan of arrangement under the Canada Business Corporations Act
  • Poka Inc. in the sale of all its issued and outstanding shares to IFS World Operations AB
  • SPI Health and Safety, a major occupational health and safety player, in the context of numerous mergers and acquisitions
  • Les Serres Royales inc., a greenhouse tomato producer, in connection with its sale to Cultures Gen V inc., a leading vegetable producer
