Biography
Nikki Graham is a senior associate in our business law group, with a focus on capital market transactions, mergers and acquisitions, venture capital and general corporate and commercial matters. Nikki acts for both public and private companies and advises clients on a wide range of complex domestic and cross-border matters.
Nikki has extensive experience representing both purchasers and vendors in friendly and hostile mergers and acquisitions transactions, including plans of arrangement, reverse takeovers, business combinations and other strategic acquisition transactions. She also regularly acts for issuers, underwriters and institutional investors in a variety of equity and debt financing transactions, including initial public offerings, private placements and prospectus offerings. In addition to transactional work, Nikki provides ongoing counsel to Canadian public and private companies on corporate and commercial matters, corporate governance, regulatory compliance, and continuous disclosure obligations. Nikki works across a broad range of industries including the technology, mining, healthcare, education, manufacturing and other commercial services and product industries.
Prior to joining the firm, Nikki served as general counsel and corporate secretary of a publicly listed mining company, where she gained valuable in-house experience operating an in-house legal team, managing corporate legal affairs and providing strategic and practical advice. She also practiced at a boutique securities law firm in Vancouver, further honing her knowledge of capital markets and corporate law.

Capital Markets
- WeCommerce Holdings Ltd. in connection with its merger with Tiny Capital Ltd. to form Tiny Ltd with an enterprise value of roughly C$950 million (US$710 million)
- Healwell AI Inc. in connection with various brokered private placements for gross proceeds of approximately $40 million
- Aeterna Zentaris Inc. in its all-stock merger of equals transaction with Ceapro Inc. The transaction included the issuance of "transaction warrants" and the resulting issuer maintained a dual listing on the TSX and Nasdaq
- Echelon Wealth Partners Inc. and a syndicate of agents, with various private placement and prospectus offerings
M&A and Venture Capital
- TELUS Ventures in connection with minority investments in Miovision Technologies Inc., completed as part of Miovision's US$296 million growth financing co-led by TELUS Ventures, Maverix Private Equity and Export Development Canada
- Olympic International Agencies Ltd. on its sale of Scott Springfield MFG. Inc., a Calgary-based leading manufacturer of air handling units, to Modine Manufacturing for approximately US$190 million
- TELUS Ventures in connection with other minority investment and acquisition transactions in the technology and telecommunications industries
- XPV Water Partners in the cross-border acquisition of WaterSignal, a Georgia-based water conservation analytics company
