Biography

Katherine Prusinkiewicz is a partner and our director of knowledge. As a partner in the business law group of our Calgary office, she helps clients with their corporate governance, M&A, and general corporate needs. As the director of knowledge, she develops programs to leverage the collective wisdom of the firm to ensure efficiency and top quality. This includes model documents, legal updates, internal and external training programs and innovative technologies.

Katherine's practice focuses on mergers and acquisitions of public and private companies as well as assisting clients with corporate governance, regulatory compliance, ESG-related matters, human rights, continuous disclosure and general corporate matters.

Prior to law school, she completed a bachelors' degrees in commerce and arts, with majors in marketing and Spanish.

Katherine has acted in the follwoing matters:

  • MEG Energy's special committee in its $8.6 billion acquisition by Cenovus Energy, following an unsolicited take-over bid from Strathcona Resources and strategic review process
  • Veren Inc. on its combination in an all-share transaction with Whitecap Resources Inc. by way of a plan of arrangement for a transaction value of approximately $15 billion
  • Crescent Point Energy Corp. on its acquisition of Hammerhead Energy Inc. by way of a plan of arrangement for a transaction value of $2.55 billion
  • Benevity, Inc. on its sale to private equity firm HG Capital LLP for a transaction value of US$1.1 billion
  • Solium Capital Inc. on its sale to Morgan Stanley by way of a plan of arrangement for a transaction value of $1.1 billion
  • Morgan Stanley Smith Barney and Solium Capital on the disposition of assets in the UK and Australia
  • Petro-Canada on its share exchange merger with Suncor Energy Inc. by way of a plan of arrangement for a transaction value of $1.1 billion
  • Over 200 clients in respect of their obligations under Canada’s modern slavery reporting legislation. In connection with this new legislation, Katherine has taken part in a Legal Advisory Panel with Public Safety Canada and partnered with the United Nations Global Compact Network Canada on their Business & Human Rights Accelerator program and other initiatives
