London team advises Houlihan Lokey on Sun Capital’s £271m offer for K3 Capital

Global law firm Norton Rose Fulbright is advising Houlihan Lokey UK Limited as financial adviser to Shin Bidco, a company controlled by affiliates of Sun European Partners LLC (Sun), on the £271.7m recommended cash offer for K3 Capital Group plc (K3).
Under the terms of the offer, K3’s shareholders will receive 350 pence per share in cash. Certain directors and employees of K3 have agreed to roll a portion of their K3 shares into securities in Shin Topco Limited, an indirect parent of Shin Bidco.
K3 is a multidisciplinary and complementary group providing specialist advisory services to SMEs, incorporating business and company sales, restructuring and insolvency, and tax advisory services. The deal aims to provide the capital required to fund the group's M&A strategy.
