Margaret Hanson has broad experience representing buyers and sellers in connection with domestic and cross-border private equity transactions, including control and non-control investments. Her experience encompasses cross-border mergers & acquisitions (M&A), structured equity and debt investments. Margaret has particular expertise in structuring complex corporate transactions and a strong understanding of the corporate governance issues that arise in both the private equity and corporate contexts.
Margaret represents public companies and private clients in the formulation and implementation of ESG / corporate citizenship policies and functions and the related public disclosure. This includes the completion of SASB disclosures and liaising with proxy advisory firms to strengthen programs and improve ESG scores. She is also experienced in the corporate contracting issues faced by large domestic and international enterprises and brings a practical and nuanced approach to resolving these issues.
She has acted as lead M&A legal advisor to a publicly traded insurance company on range of acquisitions, strategic investments, and related financings, including the purchase of a large financial institution and a foreign aviation insurer, as well as investments in several InsurTech companies from seed-financing to pre-IPO stages. Additionally, she has experience leading the creation and expansion of an ESG function in-house at a public company.
Prior to joining Norton Rose Fulbright, Margaret was a senior in-house lawyer at a large insurance company. Her in-house experience allows her to bring a practical approach and a client's perspective to her representations.
