Norton Rose Fulbright represents Houston American Energy Corp. in Registered Direct Offering

A team of lawyers from Norton Rose Fulbright’s Houston office represented Houston American Energy Corp. (Houston American), an oil and gas exploration and production company, in its Registered Direct Offering to certain institutional investors of US$2.6 million shares of the company’s stock at a purchase price of US$1.70 per share, pursuant to the company’s shelf registration statement on Form S-3.

The transaction was consummated on January 22, 2025 and closed on January 23, 2025. The company plans to use the aggregate gross proceeds from the offering to support its strategic initiatives and operational growth.

Houston American is focused on the exploration, development, acquisition and production of natural gas and crude oil in the Unites States and Colombia. The company’s US properties are located in the Permian Basin, the Louisiana Gulf Coast region and in Texas’ Reeves and Yoakum counties. Its Colombian properties are located in the Llanos Basin.

Norton Rose Fulbright’s deal team was led by Brian Fenske and Amelia Zhang and also included Lee McIntyre, Sloka Srisai Valleru Borrego and Alexia Thomas (Houston).
