Biography

After spending several years as a prosecutor dealing with criminal matters, Paul developed a general corporate and commercial focus while working in New Zealand at an international law firm. He then took a role with a major firm in the Middle East where in addition to a general corporate practice he developed a particular focus on Foreign Direct Investment. 
 
Paul Lockyer joined the Riyadh office in 2010. His practice primarily focuses on corporate and commercial matters, and has become an integral part of the Riyadh practice.

 My experience is broad given the nature of the roles I have undertaken and the opportunities that I have had. Recent experience includes advising many clients on all corporate and commercial aspects of doing business, especially structuring, mergers and acquisitions, commercial arrangements and distribution agreements, corporate and administrative matters, labour and immigration matters disputes.

Paul's experience includes:

  • Leading Data Privacy review and implementation project for New Zealand company group in relation to Chinese subsidiaries and foreign compliance due to change in data protection laws in China.
  • Leading Due Diligence and Review of transaction documents for acquisition of a 40% share in a Group providing dental services to 60,000 patients per day.
  • An incorporation of a major European healthcare equipment manufacturer and ongoing HR support and review of employment contracts, HR policies and procedures, and carrying out redundancy programs, restructuring and re-negotiating arrangements with partner.
  • Advising electronics products manufacturer on all aspects of doing business in Saudi Arabia and regulatory requirements for companies selling into Saudi Arabia, advising on structuring of business entities and licensing in Saudi Arabia, advising in relation to impact on Saudi Arabian entities of the divestiture of business, and support in preparing appropriate structure and due diligence documents in relation to divestiture.
  • All HR related matters for a company operating in the rail industry including ongoing HR support and review of employment contracts, HR policies and procedures, and carrying out redundancy programs and termination of particularly sensitive employees and related issues.
  • An incorporation of a wholly owned trading entity for a major European electronic goods manufacturer and including advice in relation to Saudiization, planning and development of employment contracts, HR policies and procedures.
  • A US oil field equipment company in the termination of the General Manager and dealing with and managing process of change within the organization, corporate issues related to the extension of business licenses and structuring, customs and import duty issues and supporting renewal of registrations in order to comply with changes in companies law.
  • An incorporation of a trading entity for a US pharmaceutical company and ongoing advice and support for employment contracts, HR policies and procedures, and litigation in relation to claims against the company by employees, advising on distribution arrangements and agency laws, advising on renewal of licensing and changes to joint venture arrangements.
  • An international equipment company operating in the oil and gas market, in their establishment of an Agency Agreement, and the development of a strategy for increasing the benefits obtained locally (in particular the in-Kingdom Total Value Add program established and run by Aramco for contractors), assisting in the incorporation of a Saudi Arabian entity to carry on business operations in Saudi Arabia, advising on leasing of property and purchase of a factory, advising on registration as a contractor for government oil company.
  • A New Zealand education company in its business ventures in Saudi Arabia including structuring, government contracting, joint venture arrangements, collections from government organisation dealing with vocational training of Saudi Arabian nationals, termination of a joint venture and continued operation of multiple campuses for technical and vocation training, including termination, drafting of employment agreements and related material, development of HR policies and procedures and hiring teachers and other personnel.
  • A Canadian education company in its operation of multiple campuses for technical and vocation training, including hiring personnel, and litigation support in relation to claims against the company and corporate assistance and licensing and regulation in the education sector and providing legal documentation to support application to be made through Canadian government.
  • Advise and support for a French bank in relation to shareholdings in Saudi Arabian bank and secondment of employees in Saudi Arabia, advising on the wrongful termination of a number of key employees, included advising on matters relating to investigation by the Public Prosecutors Office, civil claims, and employment litigation.
  • Advising on the incorporation of a US Defence Contractor in Saudi Arabia, including ongoing HR support and review of employment contracts, HR policies and procedures, and carrying out termination of General Manager and appointment of new General Manager and supporting local operations and related joint ventures.
  • Advising an international ports operator on an acquisition of shares in a local port operating company, including conducting due diligence on the target and drafting of Share Sale Agreement and Shareholders' Agreement, advising on and dealing with all regulatory issues and licensing.
  • Acting as local advisor for an Australian mining company, advising on structuring and partnership with Saudi Arabian partner, advising on mining and environmental regulations in Saudi Arabia and producing a legislative assessment to support the feasibility study, advice in relation to issues related to the joint venture and potential litigation for Saudi Arabian partner.
  • Regularly provide Client Alerts for topical matters in Saudi Arabia, and provide training and support for junior staff.
