Biography

Marie Matousek is an associate in the New York office and a member of the Projects group.  Her practice focuses on the financing and development of infrastructure and renewable energy projects, including debt and tax equity financings, commodity hedging arrangements, acquisitions and project documentation.

  • Advising Vineyard Wind, joint venture of Copenhagen Infrastructure Partners and Avangrid Renewables, in the US$2.3 billion development and financing of an 800 MW offshore wind farm off the coast of Massachusetts. Our work as project counsel on the project began in 2017 and included advice on all aspects of structuring, documenting and closing the project's financing arrangements, successful lobbying on tax issues related to the project,  and US law and financing-related advice on the commercial contracts. Vineyard Wind 1 represents the first large commercial-scale offshore wind project in the US to achieve financial close and one of the largest investments in a single renewable energy project in the country.
  • Represented C2 Energy Capital LLC on tax and project finance in the nine-figure sale of a majority interest in its 89 MW distributed solar platform (including a near-term pipeline of more than 120 MW across 200 sites in 16 US states), C2 Omega LLC,  to EDP Renewables North America LLC, forming EDPR NA DG
  • Represented Novis Renewables, as purchaser, in the acquisition of a utility scale solar project under construction in Brazoria County Texas from Savion, a subsidiary of Macquarie.
  • Represented a developer of renewable distributed generation projects on the sale-leaseback financing of rooftop solar generation equipment in Arizona.
  • Represented a developer of renewable distributed generation projects on a sale-leaseback financing of rooftop solar generation equipment in Oxnard, California.
  • Represented United States Environmental Protection Agency, as lender in relation to the approximately US$387 million financing of the East Count Advanced Water Purification Project.
  • Represented KeyBank National Association on the US$41 million financing for the construction of a new public services complex in San Marcos, Texas.
  • Represented the sponsors in relation to the debt and tax equity financing and hedging arrangements for the 336 MW Escalade Wind Project in Texas. This project was jointly developed by Taaleri Energia, AIP and Akuo Energy.
  • Represented Ullico on a private placement of senior secured notes and LC facility in the aggregate principal amount of US$159.3 million. The collateral security consisted of cash flows from the Southland portfolio of projects, consisting of a 650 MW natural gas-fired combined cycle generating facility in CA, a 649 MW natural gas-fired combined cycle generating facility in CA, a 100 MW/ 400 MWh battery energy storage system in CA and a 10 MW / 40 MWh battery energy storage system in Arizona.
  • Represented a developer of renewable distributed generation projects in relation to the refinancing of a portfolio of solar power projects located in California, Florida, South Carolina, Massachusetts, New York, New Jersey and Colorado.
  • Represented the lenders on the US$93.3 million debt financing supporting Key Capture Energy's portfolio of six battery energy storage systems in Texas. CIT, Rabobank and Siemens Financial Services co-arranged the financing. This marks a milestone for standalone utility-scale battery storage in the US, with project finance lenders providing construction debt.
  • Represented a developer of renewable distributed generation projects in relation to the financing of project costs for distributed generation solar power projects located in Johnstown and Livingston, New York.
  • Represented AustralianSuper, CPPIB and UniSuper in connection with an aggregate equity investment of approximately US$2.1 billion in Transurban Chesapeake, which comprises Transurban's Greater Washington area operational assets, including the 495 Express Lanes, 95 Express Lanes and 395 Express Lanes, as well as three projects in delivery and development - the Fredericksburg Extension, 495 Express Lanes Northern Extension and the Commonwealth of Virginia's commitments  under the Capital Beltway Accord.
  • Represented a developer on the debt and tax equity financings of the 200 MW Corazon solar project in Webb County, TX.
  • Represented United States Environmental Protection Agency, as Lender in relation to the US$569 million financing of the Metro Flood Diversion Authority - SWDCAI Project in Fargo, North Dakota.
  • Represented Crestmark Equipment Finance, a division of MetaBank, on the sale-leaseback financing of the 2.8MW Tulare BioMAT Fuel Cell Project in Tulare, California being developed by Fuel Cell Energy, Inc.
  • Represented a developer of renewable distributed generation projects on the sale-leaseback financing of solar generation equipment for the Otsego Local School District in Ohio.
  • Represented East West Bank as lead arranger for a term loan and a letter of credit facility for a portfolio of operating distributed generation projects in Los Angeles and San Diego counties, California.
  • Represented Orsted Onshore North America, as Sponsor in relation to the tax equity financing of the Sage Draw wind project located in Lynn and Garza Counties, Texas.
  • Represented Talen Energy in relation to the joint development with Pattern Energy of a solar project, Montour Solar Two, in Pennsylvania.
  • Represented the sponsors in relation to the debt and tax equity financing and hedging arrangements for the 336 MW Escalade Wind Project in Texas. This project was jointly developed by Taaleri Energia, AIP and Akuo Energy.
  • Represented Talen Solar in relation to joint development with BQ Energy Development of two solar projects Holtwood Solar and Sunbury Solar in Pennsylvania.
  • Advised Clearway Energy on the US$381 million repowering of two wind farms - the 161 MW Wildorado wind farm in Oldham County, Texas and 121.9 MW Elbow Creek wind farm in Howard County, Texas.
  • Advised lenders on the financing of an ethylene pipeline in Texas which is expected to support Gulf Coast Growth Ventures, LLC's proposed plastics manufacturing facility in San Patricio County, Texas.
  • Represented a developer of renewable distributed generation projects in relation to the financing of project costs for distributed generation solar power projects located in California, Louisiana, Illinois and Arizona with Walmart as power purchaser.
  • Represent a lender in connection with a construction and back-leverage financing it will provide to a subsidiary of Lightsource BP for the financing of a 117-MW portfolio of seven projects.
