Biography

Julia Lebedeva is a corporate lawyer based in London. She focuses on mergers and acquisitions, corporate and commercial law, energy and natural resources as well as regulatory matters.

Advising:

  • Shell - on the 50/50 joint venture between Gazprom Neft and Shell for the exploration of the Pukhutsayakhsky and Leskinsky fields in Western Siberia (the Gydan peninsula). The advice included analyzing various structures for the joint venture, drafting and negotiating the principal transaction documents, advising on merger control filings in Russia, advising on sanctions and Russian and Singapore arbitration law matters and related structuring considerations
  • Shell - on its Meretoyahaneftegaz joint venture with Gazprom Neft and subsequent termination of this joint venture
  • Rosneft - on the sale of 11 percent in JSC "Vankorneft" to ONGC Videsh Limited for approximately US$930m
  • BP - on all three of its announced upstream joint ventures with Rosneft since completion of the TNK-BP sale:
    • To develop the Kharampurskoye oil, gas and condensate field and the Festivalnoye oil, gas and condensate field in North-West Siberia;
    • Yermak exploration joint venture in relation to the Baikalovskoye hydrocarbon field and areas of mutual interest in Yenisey-Khatanga and North-West Margin of West Siberia; and
    • Acquisition of a 20 percent stake in LLC TAAS-Yuriakh Neftegazodobycha, an upstream oil and gas producer holding licences in Eastern Siberia, and associated joint venture arrangements.
  • A major oil field equipment producer - on its operations in Russia, including M&A, export and import transactions, corporate, real estate and regulatory issues
  • A Chinese consortium led by Fosun International - on the proposed acquisition of a 10 percent stake in PJSC Polyus, Russia's largest gold producer and a top 10 gold producer globally (deal value approximately US$1.3bn)
  • Chinese investment fund HOPU Investments - on the acquisition of a minority stake in the Bystrinskoye mine in the Zabaikal region of Russia from Norilsk Nickel and setting up a joint venture
  • Lhoist - on its commercial projects in Russia, specifically land lease/forest issues
  • VISA - on implementation of various banking services projects in the CIS countries.
