Natpakal Rerknithi is a corporate lawyer based in Bangkok.
Natpakal focuses his practice on corporate and commercial law, with particular emphasis on mergers and acquisitions, joint ventures, and venture capital transactions across both cross-border and domestic markets. He also advises on stock exchange and securities laws, insurance and financial institution matters, as well as regulatory and general corporate issues, including legal due diligence.

- Advising a leading company in the petrochemical industry in China in conducting legal due diligence and preparing a high-level red-flag report in connection with a cross-border transaction involving the acquisition of a 50% interest in a refinery company in Saudi Arabia and a 50% interest in a petrochemical company in China.
- Advising a consortium of international companies on the potential joint development of a corporate platform in Thailand to implement projects producing Bio-CO2 and Bio-LNG from wastewater, including providing regulatory advice, and preparing legal memorandum.
- Advising a Singapore-headquartered renewable energy developer on the establishment of joint ventures in Thailand to develop, construct, and operate solar farm projects.
- Advising a global data and analytics company on foreign direct investment restrictions and the incorporation of its wholly owned subsidiary in Thailand to acquire the Thai assets.
- Advising a Singapore-registered company on a comprehensive review of Thailand's Emergency Decree on Digital Assets Businesses and its related sub-regulations, including proposed draft notifications amending the regulations of digital asset business operators in Thailand, with the aim to explore the regulatory framework from a Thai law perspective, including reviewing SEC notifications, liaising with the Thailand Greenhouse Gas Management Organization, facilitating multi-party consultations, and drafting key documents, to facilitate the launch of an innovative, decentralized eco-commodity trading platform for carbon credits in Thailand, as well as advising its related corporate and investor arrangements in Thailand and Singapore.
- Advising the world’s leading computing cloud operator on legal and regulatory matters related to digital platform business laws in Thailand related to telecommunications and digital platform services laws, foreign investment, data protection, exchange control, government procurement, and other applicable legal requirements, including reviewing relevant document templates for compliance.
- Advising a software solutions provider on reviewing and providing legal analysis of specific clauses within a potential request for proposal issued by a state-owned electricity authority in Thailand, focusing on legal restrictions under Thai law from an intellectual property rights perspective, and advising on the tender process.
- Advising General Motors Group in preparing and providing training on directors’ duties, liabilities, corporate governance, and other related matters in Thailand.
- Advising a global payments company on the incorporation of its Thai subsidiary to provide tourist tax refund services, including liaising with the client and the Ministry of Commerce, and reviewing and revising the revenue sharing agreement.
