Biography

Bob Engbloom advises clients on M&A, transactional, governance and general business matters. Bob has acted as lead counsel on a wide variety of significant transactions and has extensive experience in providing advice on mergers and acquisitions, reorganizations and related-party transactions. His practice includes advising boards of directors and special committees on both governance matters and substantive transactions.

Bob also has considerable experience on a broad range of corporate finance matters, representing issuers and underwriters in a variety of public and private financing matters, nationally and internationally. He is a corporate secretary or director of a number of public and private corporations.

Although Bob’s practice is primarily in the natural resources and energy areas, including considerable experience in the oil sands and renewable energy sectors, he acts for a number of clients and on transactions in other industries as well.

  • The special committee of the board of directors of WesternZagros Resources Ltd. in connection with the acquisition by Crest Energy International LLC of the shares of WesternZargros
  • Vermilion Energy Inc., a dual-listed Canada-based multinational oil and gas corporation on the $427-million acquisition of a Saskatchewan oil and gas corporation
  • The special committee of the board of directors of Freehold Royalties in connection with changes to the terms of its management contract with the CN Pension Trust Fund
  • The special committee of the board of directors of Poseidon Concepts in connection with its internal investigations into accounting irregularities
  • Barrick Gold Corporation on the sale of Barrick Energy Inc. and certain assets of Barrick Energy Inc. for a transaction value of $455 million
  • The special committee of the board of directors of Agrium Inc. in connection with the shareholder activist activities and proxy contest conducted by Jana Partners
  • The special committees of the board of directors of Enbridge Income Fund Holdings Inc. and the board of trustees of Enbridge Commercial Trust in connection with (i) the acquisition by an indirect subsidiary of Enbridge Income Fund from Enbridge Inc. of its Canadian liquids pipelines business and certain renewable energy assets for $30.4 billion, together with the issuance of certain incentive/performance rights; (ii) the acquisition of a 50% interest in the US portion of Alliance Pipeline and an interest in the Southern Lights Pipeline for $1.8 billion; (iii) the acquisition of the Amherstburg and Tilbury Solar and Greenwich Wind energy projects and the Hardisty crude oil storage facilities for $1.7 billion; (iv) the acquisition of the Ontario Wind, Sarnia Solar and Talbot Wind energy projects for $1.2 billion; and (v) the partial exchange of the units of Enbridge Income Fund for common shares of Enbridge Income Fund Holdings Inc.
  • The special committee of the board of directors of Forzani Group Ltd. on its sale to Canadian Tire Corporation - 2011 (C$800 million)
  • Verenex Energy Inc on its sale to the Libyan Investment Authority by way of plan of arrangement - 2009 (C$350 million)
  • Petro-Canada on its share exchange merger with Suncor Energy Inc. by way of plan of arrangement - 2009 (C$55 billion)
