• International Finance Institutions (ongoing) - assisting the lead legal advisor in advising two leading international finance institutions in the restructuring of its original facilities to a Mozambican borrower with sponsors situated in Bahrain and the UAE.
• Equity Investor in 100MW CSP renewable energy project (ongoing) - we are advising an equity investor on the funding to be advanced by an international finance institution under an English law governed loan note facility agreement for purposes of financing its equity investment in a 100MW concentrated solar power plant being developed under REIPPPP.
• SA Bank / TBI / Momentum (2020) - Assisted the lead legal advisor in advising Momentum, TBI and South African bank in the providing of preference share facilities for the refinancing of an equity shareholding in a renewable project.
• JSE Listed Entity (SA and cross-border) (2020) - Assisted the lead legal advisor in advising a JSE listed entity and its subsidiaries in the restructuring of its local and cross-border facilities with both leading commercial banks and development finance institutions.
• Ghanaian bank (Cross-border) (2020) - Assisted the lead legal advisor in advising a Ghanaian bank (acting as Facility Agent and Arranger) in the advance of a guarantee facility by a syndicate of 11 lenders to two Ghanaian borrowers in the mining industry for purposes backstopping the borrowers' obligations under agreements in place with a Ghanaian regulatory body.
• Norwegian bank (Cross-border) (2020) - Assisted the lead legal advisor in advising a Norwegian bank in respect of South African law matters in relation to the amendments to various Norwegian law governed facility agreements and the South African law governed security package.
• Property Finance / Leading South African bank (2020) - Assisted the lead legal advisor in advising a leading South African Bank on providing a facility for purposes of repaying a shareholder loan received from a JSE listed entity used for the development of a shopping centre.
• Trade Finance (SA and cross-border) (2020) - Assisted the lead legal advisor in advising a leading South African Bank on providing a facility for the issuance of documentary letters of credit and standby letters of credit and drawing of short-term money market loans to a marine fuels trader based in Dubai UAE.
• Renewable wind project equity sale (SA and cross-border) (2020) - Assisted the lead legal advisor in advising a leading South African Bank on the release and cancellation of the certain financing and security arrangements, and giving effect to new financing and security arrangements in relation to the sale of an equity shareholding in a renewable project in the secondary market.
• Property Finance / Leading South African Bank (2020) - Assisted the lead legal advisor in advising a leading South African Bank on drafting and negotiating a suite of finance documents including a common terms agreement, development loan and vat facility, term loan facility and security documents in relation to a retail development.
• South African Airways SOC Limited (SA) (2019) - Assisted the lead legal advisor in advising a Lender Consortium of 8 lenders in relation to the debt restructuring of finance facilities made available to South African Airways SOC Limited.
• Brookfield Asset Management (NYSE:BAM) REIPP Power Plant Sales (2019) - Assisted the lead legal advisor in advising on all financing related aspects of the sale by Brookfield Asset Management of its majority shareholding in five solar photovoltaic power plants in the Limpopo Province and Northern Cape and a wind farm in the Western Cape, totalling approximately 178MWs.
• Phakwe Power REIPPP Power Plant Equity Investment (2018) - Assisted the lead legal advisor in advising the power plant owner and operator on the acquisition by Phakwe Power of a 39% shareholding in the Witkop solar photovoltaic power plant in Limpopo Province as part of the process of increasing Black ownership within the agreed REIPPP framework.
• Izingwe International Fund REIPPP Power Plant Equity Investment (2018) - Assisted the lead legal advisor in advising the power plant owner and operator on the acquisition by Izingwe International Fund of a up to 39% shareholding in the Soutpan solar photovoltaic power plant in Limpopo Province as part of the process of increasing Black ownership within the agreed REIPPP framework.
• Trade Finance (SA and cross-border) (2018) - Assisted the lead legal advisor in advising a leading South African Bank on providing a facility for the finance and sale of processed tobacco by a leading tobacco producer based in Dubai UAE.
