Biography

Emily McDermott is a corporate and securities lawyer. Emily's practice focuses on public offerings, private placements and public and private mergers and acquisitions. She also advises clients on corporate governance, continuous disclosure, securities regulatory requirements and general corporate matters. Prior to joining us in 2021, Emily practised corporate and securities law at a large commercial law firm in Calgary.

  • Athabasca Oil Corporation in connection with its private placement offering of an aggregate of 350,00 units comprised of an aggregate principal amount of US$350 million in senior secured notes and warrants to purchase common shares
  • Benevity, Inc. in connection with its acquisition of Alaya SA
  • Crescent Point Energy Corp. in connection with its offering from time to time of up to an aggregate of C$350 million of common shares, warrants, subscription receipts or debt securities pursuant to a short-form base shelf prospectus
  • Venturion Oil Limited in connection with the plan of arrangement with Cardinal Energy Ltd. pursuant to which Cardinal acquired all the issued and outstanding common shares of Venturion
  • VerticalScope Holdings Inc. in connection with its initial public offering of C$125 million of subordinate voting shares
  • Parkland Corporation in connection with its private placement offering of $C600 million senior unsecured notes, US$800 million senior unsecured notes and C$600 million senior unsecured notes
  • A syndicate of underwriters co-led by RBC Capital Markets and CIBC Capital Markets on the offering of C$1 billion of senior unsecured notes of ARC Resources Ltd.
  • A syndicate of underwriters co-led by BMO Capital Markets and Scotiabank on the offering of C$500 million of subordinated trust notes of TransCanada Trust pursuant to a short-form base shelf prospectus
