Biography

Michael is a corporate lawyer based in Sydney.  Michael has over two decades’ experience advising on domestic and cross-border M&A transactions.

He is a highly regarded advisor on Australian public M&A transactions, having advised on several of Australia’s landmark takeovers and schemes. Michael also has significant experience in private M&A and capital markets transactions.

Michael’s practice focuses on advising publicly listed companies on transactions as well as corporate and securities law in a broad range of industry sectors.

He also advises investors and listed companies on shareholder activism issues.

Michael has previously been a partner at both Australian and international law firms.

  • Advised Millstreet Capital Management on its recapitalisation and take-private of ASX-listed rare-earths company Jervois Global using a US Chapter 11 prepackaged plan and a concurrent Australian voluntary administration.
  • Advised on the sale of Australian consultancy business Aware Services, specialising in Salesforce, data and analytics, to dentsu / Merkle, a multi-national media and digital marketing communications firm.
  • Advised Rouse International, an investee company of private equity firm MML Capital, on its proposed take-private of ASX-listed QANTM Intellectual Property by scheme of arrangement.
  • Advised Thiess, the world’s largest mining services provider, on its successful A$375 million off-market takeover bid for ASX-listed MACA Ltd.
  • Advised ASX-listed US-based payment platform provider Sezzle on its proposed merger with ASX-listed Zip by scheme of arrangement.
  • Advised Caledonia on its sale of a A$600m pre-bid stake in ASX-listed Challenger Limited investment management company to a consortium of Apollo Global Management and Athene Life Re Ltd.
  • Advised a consortium of Wattle Hill Capital and ROC Partners on their take-private of ASX-listed honey business Capilano by scheme of arrangement – Winner of Consumer M&A Deal of the Year at the Mergermarket Australia M&A Awards.
  • Advised on the take-private of ASX-listed luxury goods retailer Oroton by a deed of company arrangement – Winner of Turnaround Deal of the Year at the TMA Awards.
  • Advised NYSE-listed consumer packaging manufacturer Bemis, Inc on its merger with ASX-listed packaging manufacturer Amcor and dual-listing on ASX and NYSE with a combined market capitalisation of over US$10 billion – Winner of International Deal of the Year at the Australasian Law Awards.
