Biography

Jessica is a corporate energy and resources lawyer based in Brisbane. She advises her clients on strategic issues and operational requirements, including:

  • corporate, energy and advisory matters, such as joint venture arrangements, offtake arrangements and organisational structuring;  
  • multi-jurisdictional and multi-asset mergers and acquisitions within the energy, resources and renewables sectors;
  • complex contract drafting and negotiation, including strategic supply agreements and infrastructure contracts;
  • rail and port infrastructure access and pricing, including haulage agreements and access to export facilities;
  • First Nations and ESG law, including native title and Aboriginal cultural heritage;
  • corporate governance advice and arrangements; and
  • social performance of companies, including compliance with international business obligations.

M&A

  • Advising on various large scale resources divestments, including in respect of the divestment of the Anglo American coal business. 
  • Intrepid Travel - Advised the founders of Intrepid Travel in connection with the merger of the Intrepid Travel business globally with the adventure travel division of TUI Travel PLC.
  • W&I insurers - regularly advise insurers include AIG, Liberty GTS, Fusion, Tokio Marine HCC, Beazley and Brockwell in connection with underwriting W&I insurance policies across a range of industries and transaction structures.

First Nations law (including native title and Aboriginal cultural heritage) 

  • Amplitude Energy -  providing advice on offshore petroleum regime following Santos/Barossa case and assisting client to review stakeholder engagement processes.
  • Cape Flattery Silica Mines Pty Limited providing Cultural Heritage and Stakeholder engagement advice for Cape Flattery Silica Mine project on an ongoing basis for a number of years.
  • Chevron Australia Pty Ltd providing advice on the new Western Australia Cultural Heritage legislation, providing advice on NOPSEMA offshore stakeholder engagement processes following the Santos/Barossa case.
  • Clarke Creek Energy Pty Ltd providing strategic advice on Cultural Heritage issues in relation to one of Australia's largest windfarms.

Infrastructure and rail 

  • Advising various clients in respect of Queensland Competition Authority regulation, including acting in respect of the declarations of regulated assets under the Queensland regulated access regime. 
  • Anglo American - providing advice in respect of negotiation and drafting of complex portfolio haulage agreements and below rail agreements; 
  • Stanmore - negotiating and drafting complex port and rail access arrangements for Queensland based coal projects.
