Biography
Maria Beatrice is a corporate and regulatory lawyer based in Milan.
She assists Italian and foreign entities on regulatory matters covering insurance, financial services, payment services as well as AML. More specifically, she deals with Italian and foreign life and non-life insurers and insurance intermediaries as well as Italian and foreign banks and investment firms, operating in Italy and abroad from Italy.
She provides advice on corporate governance aspects, including internal policies and procedures on conflict of interest, product and oversight governance (POG), whistleblowing, outsourcing and remuneration.
As for the banking sector, she assists in relation to the transparency discipline, particularly in relation to pre-contractual materials, contractual documents requirements and distance marketing communication techniques. She has extensive experience on investment services and activities and covers aspects such as passporting procedure and conduct rules in the provision of investment services and off-site offer. Moreover, she dealt with crypto-related services and provided advice to foreign players. In the insurance segment, among others, she advises on local and cross border distribution strategies, through branches and under the freedom of service regime, using distance marketing communication means of life and non-life insurance policies.
She regularly assists clients by liaising with competent supervisory Authorities in relation to administrative proceedings, including participations’ acquisition, payment services exemption regime and securities offering documents.
Besides advisory activities, she also works on transactional matters by providing assistance on extraordinary deals (including internal restructuring of global groups, M&As and JVs), in regulated contexts, in which banks, insurers, intermediaries, including foreign ones, are involved. Furthermore, she regularly assists insurers and Managing General Agencies in the negotiation of the Indemnity & Warranty policy with the parties to an underlying M&A deal (usually the buyer in a share deal).
In 2023, she was seconded part-time at AIG and was actively involved in a project aimed at establishing a long-term partnership with a product manufacturer for the distribution of extended warranty and accidental damage insurance coverage. She supported the legal department in drafting the framework agreement and a practical guidance for distributor and provided ongoing assistance to the business team on corporate and regulatory issues.
She joined us in November 2018 from a leading Italian firm.
