Biography

Jason Blanchard's practice focuses on corporate bankruptcy cases, out-of-court restructurings and bankruptcy litigation. He represents a broad range of clients in financially distressed situations nationwide—including debtors, institutional and private lenders, creditor groups and committees, investors, asset purchasers and court appointed fiduciaries—in high-stakes restructuring matters across industries such as healthcare, energy, financial services and consumer markets. 

Jason regularly represents plaintiffs and defendants in complex adversary proceedings, fraudulent transfer and preference litigation and bankruptcy appeals. He also advises clients on distressed M&A transactions, chapter 11 plan and sale matters and lender-side restructurings. His dual litigation and transactional capabilities allow him to deliver strategic counsel across all phases of a restructuring.

Before joining the firm, Jason practiced in the bankruptcy and restructuring group of an AmLaw 100 firm based in New York City and clerked for Chief US Bankruptcy Judge Alan S. Trust in the Eastern District of New York.

  • Debtor's counsel to Brazos Electric Power Cooperative, Inc., one of the oldest and largest generation and transmission cooperatives in Texas, in its chapter 11 case in the Southern District of Texas Bankruptcy Court.
  • Counsel to senior living facility in out of court workout of US$230 million of indebtedness.
  • Debtor's co-counsel to health care sharing ministry as debtor-in-possession in its chapter 11 case before the Delaware Bankruptcy Court*
  • Debtor's counsel to owner and operators of an oil refinery based in the US Virgin Islands in their chapter 11 cases before the Southern District of Texas Bankruptcy Court*
  • Debtor's counsel to retail electricity business and its affiliated companies in their chapter 11 cases before the Southern District of Texas Bankruptcy Court*

Creditor representations

  • Counsel to Brazilian financial institution in the chapter 15 cases of SouthRock Capital in the Southern District of Texas. 
  • Represented lender to a Canadian-based international bus manufacturer on US insolvency matters in out-of-court restructuring of US$1 billion syndicated North American and UK credit facilities.
  • Represented the official committee of tort claimants in the chapter 11 cases of a California utility company and its parent company before the Northern District of California Bankruptcy Court*
  • Represented of one of the largest clinical diagnostic laboratories in the US as a creditor related to the breach of its patients' data caused by a chapter 11 debtor in the Southern District of New York*
  • Represented DIP lender in connection with its exit lending facilities in the Southern District of Texas Bankruptcy Court and the District of Hawaii Bankruptcy Court*

Asset sales 

  • Represented stalking horse bidder and successful purchaser in multi-million dollar acquisition of California wine production facility in a section 363 sale in the chapter 11 cases of wine producers in the Delaware Bankruptcy Court.
  • Represented stalking horse bidder in connection with acquisition of gourmet grocery food chain in section 363 sale in bankruptcy cases in the Southern District of New York Bankruptcy Court*

Bankruptcy litigation matters

  • Represented former directors and officers in defending multi-million dollar breach of fiduciary duty claims by liquidating trustee in Nevada Bankruptcy Court
  • Represented the trustee for the Securities Investor Protection Act liquidation of a security brokerage firm, in disputes involving customer claims and the litigation of avoidance actions and motions to withdraw the reference*
  • Represented reorganized debtor, the owner and operator of frac sand plants and quarries, in breach of contract and declaratory judgment action in Delaware Bankruptcy Court*
  • Represented investment management company in contesting an objection to its claims by the post-confirmation liquidating trustee in the Northern District of Texas Bankruptcy Court*
  • Represented real estate developer in obtaining dismissal of liquidating trustee's fraudulent conveyance lawsuit and successfully defending an appeal before the Southern District of New York Bankruptcy and District Courts*
