For the first time in 36 years, the Antitrust Division of the US Department of Justice and the Federal Trade Commission provided guidance last week on how they view mergers among parties at different levels of the supply chain. The Guidelines both answer some questions and leave other areas of uncertainty for merging parties.

The draft Vertical Merger Guidelines are open for public comment until February 11, 2020. Once finalized, the Vertical Merger Guidelines will have wide-ranging impacts on merger investigations and enforcement.
