Biography

Alex Niebruegge has broad experience in US and international energy transactions, advising clients in the acquisition, divestiture, development and operation of energy assets and other corporate matters. He also counsels boards of directors and their committees, investment banks, private equity firms and their portfolio investment companies and companies operating in a variety of industries in connection with joint ventures, mergers and acquisitions and dispositions and corporate governance matters.

Alex has substantial experience in leading negotiation of purchase agreements, operating and maintenance agreements, transportation agreements, gathering and processing agreements, produced water gathering and disposal agreements and commercial agreements.

After law school, Alex served as a law clerk to the Honorable Nancy F. Atlas in the United States District Court for the Southern District of Texas. He has also served as a secondee to the international legal department of a major Japanese trading house in Tokyo for a period of 21 months.

  • Representation of a private investment firm in multiple acquisitions of non-operating interests in deepwater Gulf of Mexico oil and gas properties, with an aggregate deal value of approximately $600 million
  • Representation of an independent oil and natural gas producer in the acquisition and farmin of oil and gas properties located in the Cotton Valley formation in Louisiana 
  • Representation of an independent oil and natural gas producer in the disposition of oil and gas properties located in the Giddings Austin Chalk Field in Fayette County, Texas
  • Representation of an independent exploration and development company in the negotiation of various fracturing services agreements
  • Representation of an independent oil and natural gas producer in its bid to acquire Chesapeake Energy's Mid Continent assets out of bankruptcy
  • Representation of an independent exploration and production company in a series of transactions involving the sale of oil and gas properties located in the Bakken shale play covering approximately 140,250 gross leasehold acres in the aggregate

  • Representation of an independent exploration and development company in the negotiation of a long-term produced water disposal agreement in the Delaware Basin
  • Representation of a diversified midstream MLP in the acquisition of a provider of water pipeline and disposal infrastructure solutions to producers primarily in southern Eddy and Lea Counties, New Mexico, and northern Loving County, Texas in the Delaware Basin for approximately $600 million
  • Representation of a diversified midstream MLP in a combined $93 million strategic acquisition of approximately 122,000 acres of ranchland located in Eddy and Lea Counties, New Mexico and the associated 11.6 million barrels of annual fresh water rights for use in hydraulic fracturing operations
  • Representation of a diversified midstream MLP in the acquisition of the assets of a produced water disposal business in Eddy and Lea Counties, New Mexico, and Loving County, Texas for approximately $890 million
  • Representation of fresh water supply company in the negotiation of a $25 million asset sale relating to the supply, sale and transportation of water to oil and gas well sites for use in hydraulic fracturing operations in eastern New Mexico
  • Representation of one of the largest independent oil and gas companies in the US in connection with the negotiation of a long term transportation services agreement for the transport of crude petroleum on a pipeline system in the Delaware Basin area along with a related long-term storage services agreement  
  • Representation of one of the largest independent oil and gas companies in the US in a $185 million disposition of a condensate recovery plant and 83 mile long high energy dense phase gas pipeline located in North Dakota
  • Representation of one of the largest independent oil and gas companies in the US in a $111 million disposition of a 111 mile sour gas gathering pipeline system and sour gas compressor station located in South Texas
  • Representation of one of the largest independent oil and gas companies in the US in a $22.75 disposition of a crude oil unloading rail terminal and related crude oil pipeline Representation of an independent oil and gas company in the restructuring of its existing agreements relating to various midstream assets located in the central Appalachian Basin, including the acquisition of the remaining interests in a previously jointly-owned natural gas gathering trunk line and treatment facility
  • Representation of a leading supplier of wellhead compression services in connection with the acquisition of substantially all of the assets of Midcon Compression, a division of Chesapeake Energy Corporation

  • Representation of a Japanese trading house in connection with the negotiation and documentation of an LNG tolling agreement with a US Gulf Coast LNG export facility, including advising on the associated feed gas and pipeline transaction matters and marketing and LNG sales arrangements
  • Representation of a Japanese trading house in connection with its participation in a joint venture among a consortium of investors for the financing and development of a US Gulf Coast LNG export facility Representation of one of the largest independent oil and gas companies in the US in a $210 million acquisition of an interest in, and the ongoing development of, a planned LNG export terminal to be located in the Canadian west coast
  • Representation of a Japanese trading house in connection with the negotiation of a joint venture for the development of a greenfield US Gulf Coast methanol plant
  • Representation of a Japanese trading house in connection with the development and construction of a US Gulf Coast chlor-alkali plant
  • Representation of a Japanese trading house in connection with ethylene dichloride offtake and sales agreements

M&A/Private Equity/Corporate Projects

  • Representation of an international oilfield services company in the sale of its fishing and tubulars businesses and related assets, including the transfer of over one thousand employees and operations in twenty-five countries for approximately $400 million
  • Representation of a hydraulic fracturing services company its merger with a publicly traded special purpose acquisition company
  • Representation of a Houston-based private equity firm in  multiple portfolio company acquisitions and dispositions, including the majority  recapitalization of a Houston-based wholesale distribution business providing  pipes, valves and fittings to midstream and downstream end-users, the acquisition  of a civil, heavy civil and site contracting services construction company, the  disposition of a grease collection and recycling business, the disposition of a  navigational beacon and lighting company, and the reorganization and  recapitalization of a chain of Texas-based sports bars
  • Representation of a EPC company in its sale to a private equity backed provider of services to the refining, petrochemical and midstream industries
