Biography

David is an associate in the corporate, M&A, and securities practice group. He represents buyers and sellers in public and private, domestic and cross-border, mergers, acquisitions and joint ventures. David advises clients across a diverse range of industries, including technology, manufacturing and distribution, consumer products, healthcare, entertainment, professional sports and insurance with a focus on financial institutions, energy and private equity. David has extensive experience serving as underwriter's counsel with respect to the underwriting of representations and warranties insurance policies. David has also advised clients with respect to state and federal corporate governance and securities compliance matters, including reporting obligations under the Securities Exchange Act of 1934 and compliance with NYSE and NASDAQ listing standards. 

Prior to law school, David served for nearly six years in the United States Army in roles including Platoon Seargeant, Explosives Ordinance Disposal, Intelligence Analyst and Honor Guard. While deployed to Afghanistan, David was responsible for the collection, processing and dissemination of strategic and tactial intelligence. David recieved numerous awards and commendations including the Outstanding Volunteer Service Medal and Non-Commissioned Officer of the Year. David has also held positions as a legislative clerk and managed top-secret research programs.

  • O'Neil Capital Management in its $275 million sale of Investor's Business Daily to News Corp./Dow Jones
  • IAS Claims Services, a provider of tech-enabled claims adjusting and related services to the insurance market, to Davies
  • Drug development company in its $100 million sale to a multinational specialty pharmaceutical company
  • Publicly traded provider of workforce solutions, in its acquisition of a leading provider of nearshore and offshore IT consulting services
  • Private Equity backed provider of critical vegetation management services, including utility line clearing, ground clearing and mowing, and emergency storm response, in the U.S., in its acquisition of a provider of vegetation management services across Iowa and Missouri.
  • Private Equity acquisition of a distributor of produce, dairy, and specialty food items to the restaurant and hospitality industries in Florida and Texas.
  • A Texas-based community bank $856 million in assets in its merger of equals with a Texas-based community bank.
  • A portfolio company of a private equity firm with its acquisition of multiple roofing and building materials distributors across the United States.
  • Representation of a private investment firm in the acquisition of non-operating interests in offshore Gulf of Mexico oil and gas properties
