Business March 8, 2016

Global law firm Norton Rose Fulbright has advised the lead arrangers, facility agent and security agent in relation to the EUR 60m and PLN 200m revolving credit facilities granted to Pfleiderer Grajewo S.A. for the refinancing and amendment of the terms of its existing debt and other subsidiaries of the company.

Pfleiderer Group is a leading producer of wood-based materials used in the furniture, interior decoration and construction industries in Poland and Germany.

The mandated lead arrangers on the transaction included  Alior Bank S.A., Bank Millennium S.A., Bank Zachodni WBK S.A. and Powszechna Kasa Oszczędności Bank Polski S.A., with Commerzbank AG as the facility agent and Commerzbank AG, Filiale Luxemburg as security agent.

The transaction formed part of a complex restructuring involving, the downstream merger of German-based company Pfleiderer GmbH, with Pfleiderer Grajewo S.A.  Pfleiderer Grajewo S.A. subsequently became the parent company of Pfleiderer Group.

As part of the limit granted by the banks under the revolving facilities agreement, Pfleiderer Group companies also concluded ancillary facility agreements providing the companies with access to a number of banking products, such as overdrafts, guarantees and letters of credit.

The Norton Rose Fulbright team was led by partner Grzegorz Dyczkowski with support from senior associates Tomasz Rogalski and Joanna Braciszewska-Szarapa and associate Maksymilian Jarząbek (all Warsaw).
