Biography

Kevin Fischer advises private equity funds and public and private companies on a broad range of corporate transactional matters in the insurance, financial services, life sciences, technology, industrials, hospitality, business services and aerospace/defense industries. He has significant experience with multinational and domestic mergers, acquisitions and divestitures, leveraged buyouts, corporate restructurings, joint ventures, public and private offerings of securities, general commercial transactions and corporate governance matters.

Additionally, Kevin counsels insurance industry clients on a full range of corporate, transactional and regulatory matters, including M&A transactions, reinsurance agreements and acquisitions and sales of blocks of business, renewal rights transactions, corporate restructurings, multi-state insurance regulation and regulatory compliance, company formation, structuring, capitalization and licensing, insurance holding company act, transactions and compliance, InsurTech initiatives and transactions, captive insurance matters, corporate governance and general corporate matters.

Insurance

  • Represented a private equity fund in connection with the formation of a joint venture entity and the acquisition by the JV entity of two Texas domiciled P&C insurers. The transaction also involved a post-closing restructuring of the insurance holding company system to split out agency and other service functions from the insurers and the negotiation of MGA and other service agreements to govern the provision of such services to the insurers post-closing.
  • Represented a publicly traded insurance holding company in connection with a global restructuring that involved every aspect of its subsidiaries' worldwide insurance operations. The project involved the formation of a new life insurance company licensed in 49 states and several US territories, the transfer of the insurance subsidiaries' worldwide investment portfolio, multiple asset sales, mergers and reinsurance transactions and a comprehensive review of the holding company system's worldwide policies and affiliate agreements.
  • Represented a global insurance group in connection with its first acquisition of a US insurer to serve as the group's US platform for InsurTech/MGA-focused insurance business.
  • Represented an MGA-focused insurance group in its acquisitions of (or a controlling interest in) multiple insurance producers/MGAs.
  • Represented a leading MGA in its acquisition of a block of auto insurance business from a Texas domiciled insurer that had been placed into receivership, through a reinsurance and renewal rights transaction.
  • Represented an insurance group focused on alternative auto insurance solutions in its acquisition of two US-based insurers.
  • Represented a private equity fund and its MGA portfolio company in the formation of a Series LLC to serve as a start-up incubator for underwriting and program administrator businesses.
  • Represented various clients in connection with shell insurance company acquisitions and dispositions, including shell insurance companies domiciled in California, Illinois, Nebraska, Ohio, Oklahoma and other jurisdictions.
  • Represented a Bermuda Segregated Accounts Company in the acquisition of a block of direct and assumed business through a Loss Portfolio Transfer from a US ceding company.
  • Represented one of the world's largest public accounting firms in connection with the sale of its US captive insurance company to its Bermuda based affiliate and negotiation of related reinsurance and retrocession agreements.
  • Represented a Fortune 100 company in connection with the design and formation of a captive insurance company, including obtaining regulatory approval for the captive's stop loss reinsurance product.
  • Represented a national association made up of over 5,000 member firms throughout the US in connection with the formation of a captive insurance company that offers health insurance through a fronted reinsurance arrangement to members of the association, including the negotiation of reinsurance agreements with several health insurers.

 

M&A and corporate

  • Represented a global technology, software and engineering company in connection with numerous acquisition and divestiture transactions, including transactions in Mexico and the United Kingdom.
  • Represented one of the world's largest manufacturers of primary batteries, portable flashlights and lanterns in its acquisition of a global razor business from a multinational pharmaceutical and biotechnology company.
  • Represented a middle market private equity firm in connection with numerous acquisition, divestiture and financing transactions.
  • Represented a leading private equity fund in connection with multiple add-on acquisitions for its residential real estate technology business.
  • Represented a global medical device and clinical trial services company in connection with multiple acquisitions and in its ultimate sale to a strategic buyer.
  • Represented a middle market focused private equity fund in connection with its acquisitions of a specialty electrical components manufacturer and distributor, a provider of integrated research management tools for the market research and intelligence industry, a value-added distributor of control and building automation products for the commercial HVAC industry and a datacenter joint venture.
  • Represented a technology company providing building automation and control systems in connection with its sale to a leading industrial conglomerate.
  • Represented hospitality companies in connection with the acquisition and divestiture of restaurant portfolios and franchises.
  • Represented a global provider of highly engineered products and solutions in the restructuring of its international subsidiaries to facilitate, among other things, foreign cash redeployment, establishing a platform for future international transactions and achieving various other tax efficiencies.
