Norton Rose Fulbright advises PKO BP on financing acquisition of Purcari Wineries by Maspex Group

Global law firm Norton Rose Fulbright has advised Powszechna Kasa Oszczędności Bank Polski S.A., acting through its Romanian branch, PKO Bank Polski S.A. Varsovia, Sucursala București, on the loan to Maspex Romania S.R.L. to finance the acquisition of Purcari Wineries Public Company Limited.

The acquisition, structured as a voluntary takeover approved by the Romanian Financial Supervisory Authority (ASF), has been partially financed by a loan governed by Polish law.

This structure required seamless coordination to ensure compliance with both Polish legal frameworks and Romanian regulatory requirements, showcasing the bank’s expertise in delivering complex cross-border financing solutions.

Purcari Wineries is the leading wine producer in Central and Eastern Europe and the only regional wine group listed on the Bucharest Stock Exchange. It is also the largest exporter of bottled wine from Moldova, with a portfolio of premium Romanian and Moldovan brands. The company manages over 2000 hectares of vineyards and operates six wineries across Moldova, Romania, and Bulgaria.

The Maspex Group is one of the largest food and beverage producers in Central and Eastern Europe. In Romania, its second-largest market after Poland, Maspex has been present for nearly 30 years, steadily strengthening its position through both organic growth and strategic acquisitions, including Rio Bucovina and Arnos. The acquisition of Purcari Wineries marks a significant step in the Group’s long-term strategy to consolidate and expand its presence in the premium beverage segment.

The Warsaw-based Norton Rose Fulbright team was led by counsel Jacek Smardzewski and included associate Michał Rutkowski and lawyer Natalia Rybak. The team worked under the supervision of Grzegorz Dyczkowski, head of the Warsaw office and the firm’s Warsaw banking and finance practice.
