Biography

Karolina is a banking and finance lawyer based in Warsaw. She focuses her practice on banking transactions, particularly those relating to project finance and real estate finance. She also has experience in due diligence projects.

She has been seconded to the project finance and general banking teams in London and Dubai.

Prior to joining the firm, Karolina worked at the Warsaw office of an international law firm.

Karolina graduated from the University of Leicester and qualified as a solicitor in England and Wales in 2023.

Advising:

  • Bank Polska Kasa Opieki S.A. - on refinancing the debt of Polska Żegluga Morska Group companies (Polsteam Group) in connection with the acquisition of five vessels. The transaction involved drafting of a full security package for the financing, including among others ship mortgages. Assisted by Bahamian law firm Lennox Paton and Cypriot law firm Michael Kyprianou, this marks the first shipping finance transaction on which Norton Rose Fulbright advised Bank Polska Kasa Opieki S.A. With 62 vessels, Polsteam Group is the largest and oldest ship operator in Poland and one of the world's leaders in marine transport of molten sulphur. Norton Rose Fulbright's Warsaw office led and coordinated the work of the London, Bahamian and Cypriot teams, which assisted on the drafting and negotiation of English and Polish law-governed finance documents.
  • Bank of China – Polish Branch - on the refinancing of the acquisition of Amazon distribution centres in Łódź and Bolesławiec by CGL Holdings Limited from Invesco.
  • Alior Bank S.A. - as lender on a term facility granted to Torus, a developer in the Tri-City metropolitan area. The facility granted by Alior Bank S.A. was used to finance the costs of construction and operation of the state-of-the-art Format office and retail building located in the Oliwa district of Gdańsk. The building offers approx. 16,000 m2 of leasable area and adjoining sports infrastructure.
  • BNP Paribas Bank Polska - on refinancing of the construction costs of 5 MWp PV portfolio developed by Vortex Energy.
  • The club of Polish banks consisting of mBank S.A. and Santander Bank Polska S.A. - on the development financing of R. Power's 121 MWp PV installations in Poland. The financing was provided to 44 project companies from the R. Power group, a leader in the photovoltaics sector in Poland with 20 percent market share. The complex transaction was based on the project finance formula relying on the Polish support scheme for PV energy installations.
  • Oriflame Holding AG - on financing of acquisition and delisting of shares from Nasdaq Stockholm stock exchange. The transaction involved providing financing in the form of bonds and loan facilities, guaranteed by Orfilame entities all over the world, including Polish entities.
