Biography

Paul Raymond is experienced in corporate and securities law, financings and business acquisitions and sales. 

He has been involved in debt and equity financing of private and public corporations, governments and Crown corporations by way of private or public offerings in Canada and the United States, acting on behalf of issuers and underwriters. He has acted in various transactions for the purchase or sale of businesses as well as in mergers and reorganizations. Mr. Raymond has also been involved in various structured finance and infrastructure transactions in Canada and abroad.

Mergers and Acquisitions

  • Weather Investments II S.à r.l. in its acquisition of all outstanding common shares of La Mancha Resources Inc. by way of a friendly all-cash takeover, which valued the equity of La Mancha at approximately $502 million ($3.50 per share)
  • The special committee of the board of directors of Atrium Innovations Inc. in its $1.1 billion going-private transaction
  • Quebecor Inc. – Advising Quebecor in respect of Caisse de depot et placement du Québec’s secondary cross-border private placement of $305 million of Quebecor’s 4.125% convertible unsecured subordinated debentures
  • The independent committee of the board of directors of MEGA Brands Inc. with a lengthy strategic review process undertaken by the board of directors and the approval of a comprehensive recapitalization transaction announced on January 14, 2010
  • The special committee of the board of directors of Cossette Inc. with an unsolicited, non-binding proposal by Cosmos Capital Inc. to acquire all of Cossette’s shares and the review of the various strategic options available to Cossette, and its subsequent sale to Mill Road Capital completed on December 23, 2009

Financing

  • Maurel & Prom in creating a partnership involving Petrolia Inc., Corridor Resources Inc. and Ressources Québec for the exploration and exploitation of the shale oil and gas on Anticosti Island, Quebec, announced on February 13, 2014
  • Beaudier Ciment Inc., a joint venture owned by Beaudier Inc. and Caisse de dépôt et placement du Québec for the development, construction and operation of the Port-Daniel-Gascons cement plant, involving a $1 billion financing program in equity, senior debt and junior debt announced on January 31, 2014
  • BRP Inc. ‑ Advising the controlling shareholder Beaudier Inc. in connection with BRP Inc.’s $262 million initial public offering, the largest initial public offering of 2013 in Canada
  • Canada Lithium Corp. in its US$75 million secured non-revolving term credit facility and US$17 million secured mining equipment lease financing in connection with the Quebec Lithium Project in La Corne Township near Val d’Or, Quebec
  • Bombardier Inc. with a new cross-border offering of US$1.5 billion aggregate principal amount of new senior notes due 2018 and 2020, and a multijurisdictional debt tender offer to purchase US$1 billion aggregate principal amount of certain series of Bombardier’s outstanding notes
