Our Montréal, Luxembourg and Amsterdam offices advised Lithium Argentina AG (formerly Lithium Americas [Argentina] Corp.) (Lithium Argentina) as it moved its corporate domicile from Canada to Switzerland by way of a plan of arrangement. In connection with such continuation, certain of Lithium Argentina’s wholly owned and majority-owned subsidiaries have been continued out of Canada to Luxembourg and/or to the Netherlands (via Luxembourg).

The team advised with respect to, as applicable, corporate compliance, seeking shareholder, stock exchange and court approval and transition of corporate, operational, employment and other matters.

The team worked alongside Lithium Argentina’s other corporate and tax advisors, leveraging our cross-border global team and knowledge, to effect multiple continuations in a compressed timeline and to support the first continuation of a public Canadian company into Switzerland in over a decade.
