Norton Rose Fulbright advises Energie 360° on sale of BHKW & Energie Group to INNIO

Global law firm Norton Rose Fulbright has advised Swiss energy supplier Energie 360° AG and the management of BHKW & Energie Holding GmbH (BHKW & Energie Group) on the sale of BHKW & Energie Group to Innio Jenbacher GmbH & Co OG (INNIO), Tyrol.

INNIO is a leading manufacturer of gas engines and combined heat and power plants, and is a portfolio company of Advent International.

BHKW & Energie Group is INNIO's long-standing sales and service partner in Germany and combines the three subsidiaries Energas BHKW GmbH, EPS BHKW GmbH and EPS Rental GmbH. The service portfolio of the companies ranges from the planning, construction, maintenance and sales of combined heat and power plants (CHP) and gas engines in the power range from 50 to 9500 kWel, the rental of mobile CHP containers, the supply of original spare parts, and the revision of gas engines to the analysis and optimization of existing plants. The group, which employs a total of around 190 people, has a broad service network with locations in Ravensburg, Beesten, Kulmbach, Magdeburg, Rostock, Lübeck and Wilhelmshaven.

The Munich-based Norton Rose Fulbright team was led by Europe head of energy partner Dr. Klaus Bader. The transaction team included partner Sebastian Frech, associate Rima Dressler, associate Christina Wiesel, associate Tobias Grans, associate Sebastian Eisenhut (all Corporate, M&A); partner Dr. Cornelia Marquardt, counsel Claudia Posluschny (Employment), counsel Dr. Frank Bayer (Tax) and partner Dr. Tim Schaper (Competition, Antitrust).

In addition to the sale, the consultation included the future participation of the management within the INNIO Group. The Norton Rose Fulbright team, which specializes in M&A transactions in the energy sector, has previously advised Energie 360° on the establishment of the CHP & Energy Group and the acquisition of EPS and EPS Rental in 2018.
