Norton Rose Fulbright berät Energie 360° bei Beteiligung an BHKW-Spezialist Engine Power Systems Thomsen & Co.

Norton Rose Fulbright hat den schweizer Energieversorger Energie 360° AG beim indirekten Erwerb der Engine Power Systems Thomsen & Co. GmbH (EPS), einem Blockheizkraftwerkprojektierer und Serviceanbieter mit Sitz in Beesten (Nordrhein-Westfalen), sowie der EPS Rental, einem Serviceanbieter im BHKW-Bereich, beraten. Der Erwerb wurde zum 1. Juli nach Freigabe durch das Bundeskartellamt wirksam. Energie 360° baut damit seine strategische Position im weltweit wachsenden Markt für Kraft-Wärme-Kopplungsanlagen weiter aus.

Norton Rose Fulbright hat Energie 360° zudem bei der Strukturierung der Management Holding BHKW & Energie Holding GmbH begleitet, an der Energie 360° einen Anteil von rund 72 Prozent hält. In die Holdinggesellschaft wurden die von Energie 360° gehaltenen Anteile an der Ravensburger Energas BHKW GmbH ebenso wie die Anteile der Mitgesellschafter an der Energas und der EPS Rental eingebracht. EPS und Energas entwickeln und realisieren Projekte mit Blockheizkraftwerken; dabei nutzen sie Biogas und Erdgas.

Das auf M&A-Transaktionen im Energiesektor spezialisierte Team von Norton Rose Fulbright unter Federführung von Partner Dr. Klaus Bader hat Energie 360° zunächst bei der Strukturierung der Management Holding beraten. Bei dem indirekten Erwerb der EPS und der EPS Rental im Anschluss umfasste die Beratung sowohl die Transaktionsstrukturierung als auch die Due Diligence der beiden Zielunternehmen, die Verhandlung der Erwerbsverträge sowie die nachfolgenden Einbringungen in die Management Holding.
