Norton Rose Fulbright advises indoor vertical farming start-up &ever on sale to Kalera

Global law firm Norton Rose Fulbright has advised the shareholders of leading indoor farming company &ever GmbH on sale of their shares to Kalera AS. Kalera AS is one of the fastest growing and largest vertical farming companies in the world.

As of July 1, 2021, the total consideration value for &ever GmbH is €130 million on a cash and debt-free basis. The consideration will consist of a combination of cash and Kalera shares.

&ever is an indoor vertical farm company headquartered in Munich with operations in the Middle East, Asia and Europe. The acquisition will transform Kalera into a global vertical farming leader, accelerating its plans for international growth and broadening its product line to include several cut leaf baby greens in high demand.

The Norton Rose Fulbright team was led by Munich-based corporate partner Dr. Klaus Bader and counsel Bernd Dreier. The team also included partners Sebastian Frech (corporate M&A, Munich), Frank Regelin (capital markets, Frankfurt) and Tino Duttiné (tax, Frankfurt) as well as senior associate Rima Dressler and associate Sebastian Eisenhut (both corporate M&A, Munich).
