Biography

Tricia Kuhl's practice focuses on mergers and acquisitions and commercial transactions. She has an extensive background working in the technology, life sciences and healthcare sectors. Tricia provides strategic advice to clients on a wide range of legal matters, including acquiring, using, protecting, licensing, commercializing, transferring and selling technology and intellectual property rights.  

She has significant experience working with both strategic and private equity investors in acquiring and consolidating businesses in the healthcare sector, including in medical, optometry, dental and long-term care services. She also assists multinational and local manufacturers, distributors, suppliers and service providers as well as healthcare professionals navigate complex legal issues in connection with pharmaceutical products, medical devices and healthcare services.  Tricia works with innovative companies in emerging areas such as artificial intelligence, virtual care and other highly regulated industries.

Tricia has gained practical experience working at a biotech company, previously publicly listed in France, and working alongside in-house counsel at pharmaceutical companies.

  • A French developer and provider of AI solutions for medical imaging on regulatory restrictions and requirements of launching its products in Canada
  • A national network of pharmacies on various regulatory and commercial matters in support of its operations, including advising on patient support programs, services agreements, a digital transformation project and health-specific privacy and data protection matters
  • A foreign investor in connection with its purchase of long-term care facilities in several Canadian provinces, including advising on acquisition structure considering regulatory restrictions, drafting performance guarantees and negotiating with provincial health authorities
  • A foreign pharmaceutical company on navigating the legal framework applicable to public procurement in Quebec's health sector, including the distribution and sale in Canada of medical products developed and manufactured abroad
  • A global leader in digital technologies for its optical healthcare industry in its Canadian healthcare business, including collaborating with business and legal teams on core services and sales agreements and advising on regulatory issues to ensure compliance with Canadian law
  • A pan-Canadian biotechnology accelerator in various university research agreements and the protection, assignment, licensing and commercialization of intellectual property developments
  • A global food and beverage company on its risk assessment and legal compliance strategy in Canada considering global strategy and interactions with regulators
