Biography

Erin Mitchell is a senior associate in Norton Rose Fulbright's Houston office. She focuses on domestic and international business transactions and corporate matters, including mergers and acquisitions, joint ventures, project development, corporate governance, securities offerings, private equity, venture capital and project financings involving renewable energy, energy storage and power generation projects including wind, solar, hydrogen, battery storage and other technologies. She also has experience working with other industries including oil and gas.

  • Represented IRG Acquisition Holdings, a partnership between Invenergy, CDPQ and Blackstone Infrastructure, on the purchase of a 1,365 MW portfolio of operating wind and solar projects from American Electric Power for approximately $1.5 billion.

  • Represented Perennial Power Holdings, Inc. (Perennial Power), a wholly-owned subsidiary of Sumitomo Corporation of Americas (SC Group), in a joint venture transaction with Advantage Capital (AC) to establish Perennial Renewables LLC (PR), a limited liability company that develops renewable energy projects with a focus on solar power generation.

  • Represented Thai listed BCPG Public Company Limited in the purchase of minority interest in a combined cycle power generating portfolio from Carlyle.

  • Represented Flywheel Energy Operating, a portfolio company of funds managed by Kayne Anderson Capital Advisors, in its $1.86 billion acquisition of all Fayetteville Shale and ARKOMA upstream and midstream assets of Southwestern Energy Company via the acquisition of 100% of the issued and outstanding securities in SWN Production (Arkansas), LLC and DeSoto Gathering Company, LLC.

  • Represented Devon Energy in the $770 million sale of its Barnett Shale position to Banpu Kalnin Ventures (BKV).

  • Represented Caerus Oil and Gas, LLC in its $735 million acquisition of natural gas assets in Northwestern Colorado from Encana Corporation.

  • Represented Plains All American Pipeline in a transaction whereby Wink to Webster Pipeline, a joint venture with affiliates of ExxonMobil, Lotus Midstream, MPLX, Delek and Rattler Midstream, will construct a 650-mile pipeline from the Permian Basin to the Texas Gulf Coast.

  • Represented Plains All American Pipeline in a transaction whereby Black Diamond Gathering, a joint venture between Noble Midstream Partners and Greenfield Midstream, acquired a 20% interest in the Saddlehorn Pipeline for $155 million.

  • Represented Black Mountain Oil & Gas LLC in the $700 million sale of certain assets in the Permian’s Northern Delaware basin of New Mexico to Marathon Oil Corporation.
