
Jonathan Riley
Biography
Jon Riley represents banks, hedge funds and private credit institutions in the structuring, negotiation and documentation of complex financing transactions. He has extensive experience advising borrowers and lenders across fund finance products. His work in this sector includes structuring and closing NAV credit facilities, working capital facilities for management companies, sponsors and general partners and employee co-investment loan programs.
A substantial portion of Jon’s practice also includes advising clients, at the portfolio company level, on cash flow loans, asset-based loans and speciality finance transactions. This includes master trust and other revolving structures for the financing of traditional revolving assets such as credit card accounts.
With deep experience at both the fund and portfolio levels, Jon offers clients a broad, well informed view of the market, helping them navigate their financing needs with clarity and strategic insight.

- Represented as borrower's counsel a bank with US$50 billion in assets in its efforts to grow its commercial lending franchise while helping a major national insurance firm expand its alternative investment portfolio through a US$135 million senior secured revolving credit facility that included a US$265 million accordion feature.
- Represented a major national bank in structuring a new US$175 million letter of credit facility on terms outside of its customary banking practices.
- Represented a major national bank in a US$78 million senior secured revolving credit and term loan facility that included "unitranche" financing with a "first-out"/"last-out" structure.
- Represented a national commercial bank as lender-agent in a US$50 million senior secured revolving credit facility.
