Our Montreal office assisted Numinus Wellness Inc. (TSXV: NUMI), an innovative company focused on developing and supporting the safe, evidence-based, accessible use of psychedelic-assisted psychotherapies, in acquiring the outstanding shares of Mindspace Services Inc. (DBA Mindspace Wellbeing), a leader and pioneer in psychedelic programming. 

Consideration for the transaction consists of (i) C$500m in cash paid upon the closing of the transaction; (ii) 441,176 common shares of Numinus Wellness Inc. to be issued over 24 months following closing; and (iii) up to C$1.1m in performance common shares of Numinus Wellness Inc. The transaction was completed on February 8, 2021.

Numinus has partnered with a Quebec-based professional corporation (held by Joseph Flanders) that engages the services of a group of psychologists in Quebec in order to provide the psychologists with access to strategic and operational support and best practices and access to Numinus’ know how regarding psychedelic-assisted psychotherapies, expanding Numinus’ presence throughout other parts of Canada, as Numinus currently operates in Vancouver. Psychedelic-assisted psychotherapy is an emerging field of psychology, and the collaboration between Numinus and the professional corporation offers an opportunity to expand access to these therapies in Quebec.
