Montréal and Toronto advise Bank of America on a US$1.1bn credit facility for Vertiv Corporation

Canada | June 16, 2020

Client: Bank of America

Our Montréal and Toronto offices acted as Canadian counsel to Bank of America, as administrative agent, collateral agent and lender, regarding the US$1.1bn amended senior secured asset-based lending credit facilities of Veritiv Corporation and its subsidiaries (formerly Unisource).

Our team negotiated and managed on behalf of the lending syndicate all Canadian legal matters relating to the amendment, restatement and increase of the corporate group’s revolving operating credit facility, including the addition of the Canadian subsidiary’s guarantee of the entirety of the facility.

Veritiv is a leading North American business-to-business distributor of packaging, facility solutions, print and publishing products and services and also provides logistics and supply chain management solutions.

The team included Arnold Cohen, Noah Schein and Josh White.
